I would like to replace the NICs in my current e-smith server with better ones (3com ones). I wonder if this is simple take/off restart process...

As far as I've ever done, shutdown, replace, restart and rerun the server config (from admin) selecting the new eth0 ð1 nics, then reboot again.
I went from 10M to 100M this way with no troubles a few months ago, just make sure where you know your new ethx nic's will appear.

AND make sure they are already supported.

For example, I tried to use an (albeit embedded) 3com 3c920 nic with 5.6, but no joy.

I recently had to switch out a bad NIC.  Process was as easy as powering down, swap out the NIC, power up and run the configuration - like Terry said.

FYI-
If you are going to swap out both NIC's with identical new NIC's, you may need to experiment to determining what was found as the new external NIC and the new internal NIC.  If after the first boot you can't get internet access, try swapping the network cables.

I am trying with a DLINK  ** DFE 530TX REV-C1 ** chipset DL10030B
that seems to be non supported.
